The prices quoted are for <b><i>all<\/i><\/b> the materials offered under the terms set out in the quotation and shall be fixed and non-revisable, except in the event of changes in exchange rates, where applicable; should such changes arise, they shall be applied on the actual date of dispatch and to the total value quoted.<\/li>\n \t<li class=\"li1\"><b>TERMS OF PAYMENT.<\/b> The payment due dates for invoices issued for this purpose shall comply with the payment terms set out in our quotation, with a maximum of 60 days<\/b>, in accordance with Law 15\/2010 of 5 July, amending Law 3\/2004 of 29 December, which stipulates that, with effect from 1 January 2013, the payment terms for all invoices arising from commercial transactions between private companies may under no circumstances exceed 60 days, counted from the date of delivery of the goods or provision of the services; there is also an express prohibition on contractual agreements between the parties that would extend the established payment deferral periods. The invoice shall be deemed to have been accepted if, two weeks after the date of receipt or four weeks after the date of issue, whichever is earlier, no return or claim has been made in respect of it; it shall therefore be paid on the due date indicated.<\/li>\n \t<li class=\"li1\"><b>DELIVERY TIME.<\/b> The delivery period shall commence on the date of <i><b><i><b><i>PREMATECNICA, S.A.\u2019s order <b>acknowledgement<\/b>.<\/i><\/b><\/i><\/b><\/i> Any delay in the payment of our instalment invoices <b><i>will <\/i><\/b>delay delivery by the same number of days. Partial deliveries will be invoiced separately, unless otherwise agreed. In the event of any discrepancy between the order and our order acknowledgement, the latter shall prevail.<\/li>\n \t<li class=\"li1\"><b>WARRANTY<\/b>. The standard warranty period shall be 12 months from the date of commissioning or 18 months from the date of delivery, whichever occurs first. This warranty is valid provided that the equipment has been adequately protected, has been inspected by our technicians prior to commissioning, and that the fault has not been caused by incorrect operation of the installation. The warranty covers only defective materials, but not those damaged due to negligence, failure to carry out preventive maintenance in accordance with our instructions, or incorrect operation by third parties; it does not include wear parts. The cost of the labour required to replace such defective materials will be charged separately in accordance with our current service rates. <b>PREMATECNICA, S.A.\u2019s<\/b> warranties do not cover the following:<\/li>\n<\/ol>\n<p class=\"p1\">\u00b7 Faults not reported to <b>PREMATECNICA, S.A<\/b>. within the warranty period specified above.<\/p>\n<p class=\"p1\">\u00b7 Faults or breakdowns caused by incorrect operation, misuse, improper installation, temperature conditions, water, dirt or corrosive substances.<\/p>\n<p class=\"p1\">\u00b7 Operational faults caused by operating above the rated capacities or by incorrect handling.<\/p>\n<p class=\"p1\">\u00b7 Products that have been misused or tampered with by personnel not authorised by <b>PREMATECNICA, S.A<\/b>.<b><\/b><\/p>\n<p class=\"p1\">\u00b7 Faults and damage caused by not using genuine spare parts.<\/p>\n\n<ol class=\"ol1\">\n \t<li class=\"li1\"><b>GUARANTEES<\/b>. Where it is agreed that guarantees are to be provided, these must specify an expiry date, in order to avoid the unnecessary payment of fees due to their failure to be returned on time. <b>PREMATECNICA, S.A<\/b>. may charge the purchaser for any bank charges incurred as a result of the late return of such guarantees. <b>Performance bonds will not be accepted<\/b> unless they are linked to an advance payment of the same amount. In this case, a single dual guarantee covering both guarantees shall be issued. The advance payment guarantee may be replaced by a retention of 5 per cent of the payment for each corresponding instalment invoice, at the seller\u2019s discretion. Advance payment and performance bonds shall be returned no later than upon delivery of the warranty bond.<\/li>\n \t<li class=\"li1\"><b>DOCUMENTATION<\/b>. The technical documentation (including the list, content, format and language(s)) to be supplied with each order must be agreed and accepted by <b>PREMATECNICA, S.A<\/b>. prior to the order being placed, and not after the order has been confirmed. Documentation relating to health and safety at work and any other documentation, training or courses required for the delivery of a product or the provision of services by our staff or contractors must be communicated, agreed upon at the quotation stage, and included in the order and order acknowledgement. Any additional documents and\/or training requested after receipt of the order will be subject to an additional charge and will require the issue of an order amendment.<\/li>\n \t<li class=\"li1\"><b>CONTRACTING OF SERVICES<\/b>. The date on which services are to be provided (on-site or remotely) cannot be arranged or confirmed until the service request or support rates have been received and formally acknowledged, and formal authorisation for access by the support staff has been obtained, once all the required documentation has been approved. Any costs incurred as a result of the cancellation of the service, due to our staff being prevented from gaining access where such access had previously been authorised, will be invoiced in accordance with the quotation or current rates.<\/li>\n \t<li class=\"li1\"><b>CANCELLATIONS<\/b>. In the event of an order being cancelled by the purchaser, <b>PREMATECNICA, S.A<\/b>. will invoice the work carried out and the costs incurred to date, and further reserves the right to add additional cancellation charges depending on the loss incurred.<\/li>\n \t<li class=\"li1\">Any advance order document may only be accepted if it contains <b>ALL<\/b> the necessary instructions and approvals to ensure that the mutual rights and obligations of the purchaser and <b>PREMATECNICA, S.A<\/b>. come into effect simultaneously.<\/li>\n \t<li class=\"li1\">Nuestros principios \u00e9ticos se basan en la honradez, transparencia e igualdad en el desarrollo de la actividad, la salud y la seguridad de las personas, as\u00ed como en la integridad de empleados, clientes y proveedores. No other terms and conditions that contradict those set out herein shall be accepted.<\/li>\n \t<li class=\"li1\">Express or implied acceptance of an order implies full knowledge of and acceptance of these general terms and conditions, and compliance with all <b>PREMATECNICA, S.A.\u2019s<\/b> safety regulations and instructions. The fulfilment of an order constitutes the supplier\u2019s acceptance of the terms and prices set out therein.<\/li>\n \t<li class=\"li1\">The prices stated in our orders are for goods or services delivered to the destination and include all taxes and, in general, any charges levied on the goods or services covered by your order or supply, unless otherwise stated, and are considered fixed and non-negotiable. Any subsequent variation that may give rise to a new price must be accepted in writing by <b>PREMATECNICA, S.A<\/b>. <b><\/b><\/li>\n \t<li class=\"li1\">The agreed delivery deadlines will be strictly adhered to, and failure to meet them may result in the cancellation of the order and\/or the imposition of a penalty of 1 per cent of the total order value for each week\u2019s delay, up to a maximum of 10 per cent.<\/li>\n \t<li class=\"li1\">All purchases are on an ex-works basis. Should another place of delivery be specified, this does not invalidate or revoke this condition. <\/li>\n \t<li class=\"li1\">All goods must be accompanied by the corresponding delivery note (in duplicate), which shall be handed over at the location and in accordance with the conditions specified in the order. <b>The delivery notes must clearly state the PREMATECNICA, S.A. order number and the details of the goods<\/b>. For goods delivered to the <b>PREMATECNICA, S.A<\/b>. premises, reception hours are: weekdays from Monday to Thursday, 8 am to 4 pm, and Friday from 8 am to 2 pm. In all cases, the order must include specific delivery instructions to facilitate the process.  <\/li>\n \t<li class=\"li1\">All consignments must always be accompanied by an <b>outer label <\/b>stating the <b>PREMATECNICA, S.A<\/b>. order number and the total number of packages included.<\/li>\n \t<li class=\"li1\">In accordance with Law 7\/2022, a tax on non-reusable plastic packaging entering Spanish territory has been in force since 1 January 2023. Should the goods covered by the order need to be imported, please provide the requested information at <span class=\"s1\"><a href=\"https:\/\/www.prematecnica.com\/en\/COM2302.html\">https:\/\/www.prematecnica.com\/en\/COM2302.html.<\/a><\/span> <\/li>\n \t<li class=\"li1\">Any goods not accompanied by a delivery note and the details specified in the preceding paragraphs, and which cannot be identified in relation to any of our orders, will be returned to the supplier with carriage forward.<\/li>\n \t<li class=\"li1\">The supplies shall comply with the specifications set out in the purchase order and the data sheets or purchase requisition attached to the order\/request for quotation. All documentation exchanged and agreed upon during the tendering phase shall form an integral part of the scope of the order. <\/li>\n \t<li class=\"li1\">The supplier guarantees that the goods and services supplied are in good condition, comply with the terms specified in the order and are carried out in accordance with the materials supplied, the designs submitted and by skilled labour. The supplier is obliged to repair or replace any defects or faulty materials at no cost to <b>PREMATECNICA, S.A<\/b>. Deliveries received shall not be deemed to have been definitively accepted until their quantity has been verified and compliance with technical specifications and quality requirements has been confirmed. Any non-compliance may be passed on to the supplier by deducting the amount from their invoice.  <\/li>\n \t<li class=\"li1\"><b>PREMATECNICA, S.A<\/b>. reserves the right to return any materials that are not received in accordance with the order specifications. In such cases, the costs incurred as a result of such a return shall be borne by the supplier. <\/li>\n \t<li class=\"li1\">Invoices for each delivery must be sent electronically to <span class=\"s1\"><a href=\"mailto:proveedores@prematecnica.com\">proveedores@prematecnica.com<\/a><\/span>. Each invoice must include: a description identifying the goods received, the purchase order number and tax identification number (N.I.F.) \u2013 both for <b>PREMATECNICA, S.A<\/b>. \u2013 and the delivery note number. As a general rule, unless otherwise agreed, a single invoice will be issued per purchase order number.  <\/li>\n \t<li class=\"li1\">The general terms of payment, except in duly justified cases agreed at the time of ordering, <span class=\"s2\"><b>are 60 days from the date of receipt of the invoice by bank transfer<\/b><\/span>, with payment due on the 25th of each month.<\/li>\n \t<li class=\"li1\">The specific terms and conditions of the order, such as specifications, Incoterms, documentation to be provided, quality control, payment milestones, packaging, deadlines, penalties, guarantees, sureties, insurance and other relevant contractual information, shall be set out in detail in the purchase order, or the purchase order shall refer to the relevant request for quotation or purchase requisition in which such terms and conditions are set out.<\/li>\n \t<li class=\"li1\"><b>PREMATECNICA, S.A<\/b>., unless otherwise specified in writing, does not authorise the supplier to be included in its reference lists, nor to publish technical notes, photographs or images relating to the supplied material with an express mention of its name, nor to disclose the process in which such material is used. Subcontracting, the assignment of orders or credit is also not permitted unless expressly authorised. All information provided to the supplier in connection with the order, <b>including drawings, designs and specifications, shall be treated as confidential<\/b>; the supplier is therefore obliged not to disclose such information or to provide copies or reproductions thereof to third parties without the prior written consent of <b>PREMATECNICA, S.A<\/b>., except where such information is in the public domain or is required by an administrative or judicial authority. The supplier shall be responsible for ensuring that its employees or professional advisers who have had access to this information fully comply with this obligation; <b>PREMATECNICA, S.A.<\/b> reserves the right to take appropriate legal action to defend its interests in the event of a breach of this obligation.   <\/li>\n \t<li class=\"li1\">Acceptance of the order implies that, in the event of a dispute, the supplier submits to the jurisdiction of the courts of Madrid, expressly waiving any other jurisdiction to which it might be entitled.<\/li>\n \t<li class=\"li1\">Our ethical principles are based on honesty, transparency and equality in the conduct of our business, on the health and safety of people, and on the integrity of our employees, customers and suppliers. The defence of human rights and the protection of the environment are also fundamental pillars of our culture.
